Location: London. Employment type: Full-time. Employer: DWS Group. This role supports the asset management activities of the DWS Infrastructure business, with approximately 17 assets under management and growing.
Responsibilities
Provide support for portfolio companies on key commercial contract negotiations, including project agreements, standard form services, and customer agreements; liaise with management teams and in-house and external counsel as needed.
Assist with recruitment processes for management team members, including review and negotiation of service contracts and employment arrangements, engagements with recruiters, and appointment of non-executive directors.
Coordinate with external counsel on management incentive plans, including amendments to shareholders\'' agreements, articles of association, share issuances, and capitalization of funding.
Assist with execution of arrangements for new joiners and leavers to management incentive plans.
Assist with corporate governance matters for portfolio companies, including liaison with outsourced corporate service providers.
Attend Investment Committee meetings and prepare records.
Serve as first point of contact for outsourced service providers and the investment team on NDAs, release letters, and engagement letters; manage relationships.
Qualifications
At least 4 years PQE at a national or international law firm with experience in general corporate and/or commercial contract law.
Experience with infrastructure fund clients preferred but not essential.
In-house experience preferred but not essential.
Ability to manage and progress workstreams independently and within a team; strong workload management and prioritization.
Good communication skills; ability to distill complex legal matters for investment team discussions.
Qualified in England and Wales; dual qualification in other European jurisdictions beneficial but not essential.
Language: English fluent; proficiency in other European language beneficial.
