We’re looking for a

Senior Legal Counsel – Debt and Capital Markets

with a strong foundation in corporate transactions and demonstrated experience in debt financing and capital markets, who brings exceptional stakeholder engagement skills and strong attention to detail.You''re comfortable problem solving and making decisions on complex topics with high levels of ambiguity in a results driven environment, including effectively navigating cross-jurisdictional and high-value financing arrangements and corporate governance frameworks.You’re comfortable influencing without authority and exceptional at building relationships with senior stakeholders across the business to get things done.You’re exceptional at project management and can confidently coordinate various workstreams and advisors — including external counsel, investment banks, independent experts and technical consultants — to deliver successful financing and corporate outcomesYou have the understanding and skillset to grasp technical concepts and regulatory issues quickly, particularly in the areas of debt instruments, securitisation, capital structures and board-level governance.You’re a doer who is extremely organised and diligent, and willing to work in a growing legal function where debt-related and capital markets transactions and governance compliance are key focus areas.You’re a self-starter, curious, and quick to learn, knowing what questions to ask to get up to speed on a fast-paced and scaling business quickly, especially in relation to complex financing structures and evolving governance requirements.What You’ll be Doing

You will work closely with the General Counsel and be responsible for managing Nscale’s debt and capital markets legal workstreams, including, in particular project and construction financing, AI/HPC hardware procurement financing, joint venture financing and other alternative financing arrangements, including cross-jurisdictional securitisation.You will support on negotiating transaction documents and advising key internal stakeholders on transactions.Working closely with the Finance team, you will deep dive into the strategic objectives of the business and stakeholders in connection with debt and capital markets transactions, from high-level strategic management of transactions to in-depth contractual reviews and transaction implementation, as well as longer-term planning for future financing transactions.You will also support other corporate and governance functions, including corporate structuring (to optimise shareholder value and cost of capital), tax planning, advice and reporting to stakeholders (including the board), head of office contracting, other operational legal support, and subsidiary management.You will proactively identify legal and operational risks and work to streamline processes within the legal and compliance function to ensure deadlines are met and initiatives are documented, tracked and executed efficiently and effectively.You will instruct and manage external counsel globally (as needed), and engage with external advisors and other industry experts to ensure alignment with legal requirements and industry best practices.You will collaborate with other legal colleagues and cross-functional business teams across multiple jurisdictions, and be available to manage matters across multiple time zones as part of a lean, high-performing legal function.About You (Skills / Qualifications)

7+ years of experience in top-tier law firms, financial institutions and/or in-house legal roles, or equivalent (preferably working within, or for clients from, the AI, hyperscaler, digital infrastructure or technology industry and with exposure to complex financing transactions and corporate governance matters and/or working within financial institutions).Strong attention to detail with a focus on holistic, entrepreneurial and fast-paced decision-making and work productivity.Significant experience in complex corporate cross-jurisdictional transactions, including debt and equity fundraising, capital markets, IPOs, venture debt, securitisation and corporate governance with an understanding of cross-border regulatory and structuring considerations.Robust internal and external stakeholder management and communications skills, with the ability to influence and advise senior business leaders and collaborate effectively across cross-functional teams.Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.Comfortable working in a fast-paced, high-growth environment.
